Even if an agency is expressed in spoken words and is technically an express agency, it is unenforceable against the principal. Furthermore, when the details and boundaries of an agency are written, the agent’s responsibilities are clear cut, expectations are defined; and less possibility of misunderstanding exists. Furthermore, with an unwritten express agency, the agent is bound by a fiduciary duty to the client, but the client’s obligations to the agency relationship cannot be enforced.
